Roe Angling Ltd. Articles of Association.
The company’s Articles of Association, and in particular the objects clauses, which aim to be charitable, have failed the test of public benefit applied by the NI Charity Commission. The company has therefore reverted to a standard limited company. The directors were aware this would likely be the case, and intend to revise the Articles. There will be no attempt to regain charitable status as this is not beneficial to the club, mainly for 2 reasons:
The reporting regime for charities is much more onerous and therefore costly;
The club cannot claim gift aid on members’ fees as these are not outright donations.
The new Articles will be fit for purpose in terms of the club’s structure, aims and activities. When the revised version is complete it will be available for ratification by the membership.
